Terms and Conditions

Welcome to Locales y Bodegas ("the platform"). These Terms govern the use of the site, the application, and the services. By registering, the User expressly accepts these Terms.

1. Nature of the service

Locales y Bodegas is a technology platform that facilitates the connection between owners of commercial properties (storefronts and warehouses) and tenants. The platform is not party to the lease contract between the parties and acts exclusively as a facilitator.

2. Registration and verification

To use the platform, the User must register, provide truthful information, accept the Aviso de Privacidad, and, where applicable, complete the KYC process (identification, RFC, proof of address). The trust level displayed depends on the level of validated documentation.

3. Commissions and payments

The brokerage commission is one month of rent for the property covered by the contract, paid by the owner at closing. Percentages may be adjusted based on published promotions or exclusivity arrangements. The Hold is non-refundable if the tenant backs out.

4. Anti-bypass clause

The User expressly acknowledges that the parties were introduced through the platform. Accordingly, the User agrees NOT to coordinate transactions derived from the property outside the platform for the 12 months following the initial connection. Breach of this clause triggers a contractual penalty equivalent to one month of rent for the affected property, without prejudice to civil action. The platform reserves the right to suspend or remove the User in case of breach.

5. Automatic bypass detection

The platform uses technology (including AI models) to detect attempts to exchange contact information outside the authorized channel. The platform may block messages containing phone numbers, emails, physical addresses, social media handles, or phrases suggesting a deal closed outside the platform.

6. Property and party verification

The platform makes reasonable efforts to verify published information but does not guarantee absolute accuracy. Each party is responsible for reviewing documents before signing.

7. Electronic signature

Simple electronic signature (handwritten on screen, with SMS, IP, geolocation, and video-selfie verification) is considered a valid expression of will under the Código de Comercio. The parties expressly accept this signing method.

8. Disputes

The platform provides documentary evidence (contracts, messages, photos, proposals) when requested by a party through the Full Legal Report service. The platform does not mediate or rule on disputes. The parties may resolve between themselves or before the competent authorities.

9. Modifications

The platform may modify these Terms. Modifications are notified at least 15 days in advance. Continued use implies acceptance.

10. Jurisdiction

The parties submit to the jurisdiction of the Courts of Ciudad de México.

These Terms are a preliminary version and must be reviewed by outside counsel before operating commercially.
